Terms of Service
1. Summary (non-binding)
Killbot is trading software. It is not an investment adviser, broker-dealer, commodity trading advisor, or fund manager. We do not hold your funds, manage your account, or recommend specific investments. You are solely responsible for your trading decisions and the performance of your exchange account.
2. Service Description
Killbot provides automated trading software that connects to cryptocurrency exchanges through trade-only API keys that you control. The software executes a pre-defined algorithmic strategy based on market signals and configurable risk parameters. You may start, stop, or reconfigure the software at any time.
3. Software License, Not Investment Advice
Killbot grants you a limited, non-exclusive, non-transferable license to use the software. Nothing in this Agreement or in the Killbot application constitutes investment advice, a recommendation to buy or sell any asset, or a solicitation to invest. Killbot is not registered as an investment adviser with the US Securities and Exchange Commission or any state securities regulator.
4. No Custody of Funds
Killbot does not hold or take custody of any user funds or digital assets at any time. All trading activity occurs on exchange accounts controlled by you, using API keys that you generate and revoke at your discretion. Killbot has no withdrawal authority and cannot transfer your funds.
5. User Responsibilities
- You are solely responsible for reviewing and accepting the risks of cryptocurrency trading.
- You are responsible for securing your exchange API keys and account credentials.
- You are responsible for all trades executed through your account, regardless of whether they were initiated by Killbot software.
- You are responsible for complying with all laws applicable to you, including tax, securities, and reporting obligations.
6. Fees and Billing
Killbot charges a flat monthly software subscription, tiered by the maximum capital you configure the bot to manage on your exchange. Plan details are disclosed in-app and at killbot.cash/#pricing before you subscribe.
All fees are billed in US dollars and charged automatically to your payment method at the start of each billing period via Stripe. Applicable taxes may be added based on your billing country.
No refunds. Paid subscription fees are non-refundable except where required by law. If you cancel mid-period, your subscription remains active until the end of the paid period, after which the bot returns to paper mode. Killbot does not charge performance fees or take any percentage of your trading profits.
7. Kill Switch
You may stop the software at any time through the in-app kill switch or by revoking your exchange API keys. Killbot will cease opening new positions within seconds of a stop command. Existing open positions remain on your exchange account and are your responsibility to manage or close.
8. Prohibited Uses
You may not use Killbot if you are: (a) located in a jurisdiction where the software is prohibited, (b) a US person using a performance-fee plan, (c) a retail user without experience sufficient to understand leveraged trading risks, (d) using the software for market manipulation or other illegal activity.
9. Arbitration and Class Action Waiver
Any dispute arising out of or relating to this Agreement shall be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules. You waive any right to participate in class actions. This waiver is a material inducement for Killbot to offer the service.
10. Limitation of Liability
Killbot's total liability to you in any 12-month period is capped at the fees you have paid to Killbot in that period. Killbot is not liable for lost profits, trading losses, exchange outages, API failures, or any indirect, incidental, or consequential damages, even if Killbot has been advised of the possibility of such damages.
11. Force Majeure
Killbot is not liable for failure to perform under these Terms caused by events beyond our reasonable control, including but not limited to: exchange downtime or outages, internet service interruptions, power failures, natural disasters, pandemics, war, sanctions changes, regulatory actions, third-party platform failures (including Stripe or our hosting providers), or cyberattacks. During such events we will use commercially reasonable efforts to restore service and communicate status.
12. Severability
If any provision of these Terms is held unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions stay in full force and effect. No waiver of any provision is effective unless in writing.
13. Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets, with notice to you.
14. Entire Agreement
These Terms, together with the Risk Disclosure and Privacy Policy referenced above, constitute the entire agreement between you and Killbot regarding the service, and supersede all prior understandings, communications, or agreements.
15. Governing Law
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. Arbitration is governed by the US Federal Arbitration Act (9 U.S.C. §§ 1 et seq.).
16. Changes
Killbot may update these Terms from time to time. Material changes will be notified to you via email and in-app notice at least 30 days before they take effect. Continued use of the service after the effective date constitutes acceptance of the revised Terms. If you do not agree, stop using the service and cancel your subscription.
